Critical Infrastructure Technologies Acquires Western Australian Engineering Firm to Boost Sovereign Manufacturing

Critical Infrastructure Technologies Ltd. (CSE: CTTT) (OTC: CITLF) (FRA: X9V) announced it has received financing approval to acquire 100% of a Western Australian precision engineering and manufacturing company with strong ties to the defence and mining sectors. The acquisition, valued at AUD $5.775 million at completion with two deferred payments of AUD $962,500 each, marks a key step in the company's strategy to establish sovereign manufacturing capability in Australia and vertically integrate production of its Nexus platform and future defence technologies.

The target company generated AUD $7.5 million in revenue and AUD $1.9 million in EBITDA for fiscal year 2025, with projections of AUD $8.6 million in revenue and AUD $2.2 million in EBITDA for fiscal year 2026. Revenue and EBITDA are expected to double within the next two to three years. The acquisition is set to close on or before May 31, 2026.

CiTech develops autonomous, high-capacity mobile communications and security platforms, including the Nexus 16, which provides critical mobile telecommunications for mining, defence, border security, and emergency services. The company's self-deploying platform uses patented technologies to overcome limitations in strength and rapid deployment of communications solutions. The acquisition adds a profitable, well-established engineering and fabrication business, providing an immediate earnings base while enabling faster prototyping, production, and deployment of Nexus platforms.

“Being able to settle the acquisition represents a significant step in CiTech’s growth strategy,” said Brenton Scott, Director and CEO of Critical Infrastructure Technologies Ltd. “This acquisition provides immediate revenue and earnings while delivering the manufacturing capability required to scale production of our Nexus platforms and support increasing international demand.” Scott added that the acquisition strengthens sovereign Australian defence manufacturing capability and positions CiTech to participate in major allied supply chains.

The strategic benefits include immediate sovereign manufacturing capability in Western Australia, vertical integration of fabrication and engineering operations, access to a highly skilled workforce and advanced fabrication infrastructure, and enhanced capability to support defence, mining, and critical infrastructure customers. The strengthened manufacturing capability will allow CiTech to accelerate production of its Nexus autonomous communications platforms to meet growing demand from international defence, mining, and infrastructure markets.

CiTech is listed on the CSE and operates from Perth, Western Australia. The company has completed its research and development phase and is commercializing its first products. For more information, visit www.citech.com.au.
