Kudelski SA Shareholders Approve All Board Proposals, Elect New Director at 2026 AGM

The Annual General Meeting of Kudelski SA (SIX:KUD.S) concluded with shareholders approving all proposals from the Board of Directors by a strong majority. The meeting, held at the company's headquarters in Cheseaux-sur-Lausanne, Switzerland, was attended by 38 shareholders or their proxies, representing 63,952,062 shares out of a total of 97,809,214 shares outstanding.

Shareholders ratified several key financial and governance items, including the 2025 annual report, the company's financial statements, the Group's 2025 consolidated accounts and profit allocation, and the 2025 report on non-financial matters. The compensation reports for both the Board of Directors and the Executive Board were approved, and the discharge of these bodies for their 2025 activities was granted.

In a significant governance decision, the Board of Directors saw the re-election of its existing members for one-year terms. Mrs. Marguerite Kudelski and Messrs. Laurent Dassault, Michael Hengartner, Andre Kudelski, Pierre Lescure, Alec Ross and Claude Smadja were all re-elected. Mr. Andre Kudelski was also re-elected as Chairman of the Board. The meeting marked the retirement of Mr. Patrick Foetisch from the Board, concluding more than 35 years of service where he helped shape the Group's development.

A key development was the election of Ms. Helene Beguin as a new member of the Board for a one-year term. Ms. Beguin brings extensive financial and governance experience, having been a partner at KPMG from 2004 to 2025 and serving on the board of directors of KPMG Suisse from 2014 to 2024, including a term as its chairwoman. She holds a Master's degree in Business Administration from HEC Lausanne and is a certified public accountant. Her election adds significant financial oversight expertise to the board of the digital security technology firm.

The shareholders also elected Messrs. Michael Hengartner, Pierre Lescure, Alec Ross and Claude Smadja to the Remuneration and Nomination Committee for a one-year period. In other appointments, PricewaterhouseCoopers SA in Lausanne (Pully) was re-elected as the Group's audit firm, and Ofisa Berney Associés SA, in Lausanne, was elected as the independent representative, both for one-year terms.
