Quantum Genesis AI Corp. (OTC: QGAI) issued a clarification on Tuesday regarding its research activities and intellectual property, seeking to distinguish itself from an unaffiliated Indian entity that contributed to scientific publications in the company's field of enzyme engineering and biocatalysis.

The San Diego-based biotechnology company stated that certain research activities associated with its broader scientific field were conducted through Quantumzyme LLP, a separate entity based in Bengaluru, India. Quantumzyme LLP is not a subsidiary or otherwise affiliated with Quantum Genesis AI, the company emphasized.

The clarification comes after prior press releases on November 5, 2025, and February 12, 2026, referenced scientific publications that identified Quantumzyme LLP and reflected the affiliations of contributing researchers at the time the research was conducted. The company said it is issuing this statement to provide additional context regarding intellectual property and technology rights previously transferred to Quantum Genesis AI.

According to the company, its Chief Executive Officer, Naveen Kulkarni, transferred certain intellectual property, know-how, methodologies, processes, and research materials to Quantum Genesis AI under an Asset Purchase Agreement dated February 21, 2023. A subsequent confirmatory assignment was disclosed in the company’s Current Report on Form 8-K filed on April 29, 2026.

The company believes that the Asset Purchase Agreement transferred underlying technology, methodologies, computational approaches, and related intellectual property associated with its core enzyme engineering and biocatalysis business. Therefore, to the extent research activities conducted by Mr. Kulkarni, whether directly or through Quantumzyme LLP, relate to the company’s core field and are based on or derived from the transferred technology platform, the company believes such intellectual property falls within the scope of the rights transferred to it.
